The Terms and Conditions of use for the Prompted Limited Platform and Services, v1, updated 01.04.2026

PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY. BY USING THE PLATFORMS OR SERVICES YOU ACCEPT THESE TERMS. 

If you do not agree to these Terms, you must not use the Platforms or the Services.

Introduction

This website and associated services are operated by Prompted Ltd (“Prompted”, “we”, “our” and “us”). References to “Prompted” in these Terms will include any group companies and affiliates of Prompted.

We are registered in England and Wales under company number 16648304 and have our registered office at Level 7 Founders Factory, 2 Arundel Street, 180 Strand, London, United Kingdom, WC2R 3DA.

This document sets out the Terms between you and us which apply to your use of our websites (including any sub-pages and associated webpages), our application programming interfaces, our Model Context Protocol (MCP) server, and any tools, widgets, or integrations made available by us on third-party platforms (collectively, the “Platforms”). 

These Terms also separately apply to your use of the insurance assessment, quoting, policy review, purchase, binding, and referral services available through the Platforms (the “Services”).

We may amend these Terms from time to time. Your continued usage will constitute acceptance, so it’s important that you check in from time to time to make sure you’re happy with any updates. 

Other terms will apply to your use of the Platforms, including:

(a) our privacy policy (“Privacy Policy”), which can be accessed here: https://prompted.insure/en/about-us/legal-notices/privacy-policy; and

(b) if you purchase insurance via any of the Platforms, the relevant Prompted terms of business agreement (“TOBA”) which sets out both your and our contractual and legal obligations in relation to the insurance arranged for you by us.

You should also make sure you’re familiar with the terms of any insurance policy which you may buy through the Platforms.

1. Definitions

In these Terms, the following definitions apply unless the context requires otherwise:

“Agent” means any AI model, chatbot, software client, or automated system that connects to and interacts with our Services via the Model Context Protocol or any other programmatic interface, whether operated by you directly or by a third-party platform on your behalf.

“Applicable Laws” means all relevant laws, regulations, rules and requirements, including but not limited to the Financial Services and Markets Act 2000 and any binding provisions issued by the UK’s Financial Conduct Authority.

“Direct Platform” means Prompted’s own website and chat interface, operated and controlled by Prompted, through which Services are provided without the involvement of any Third-Party Platform or Agent.

“Example User Profile” means a representative set of risk characteristics, derived from anonymised industry data, which Prompted uses as a starting point for illustrative policy analysis and indicative quotations before the user has reviewed and provided their own Personalised Information.

“Insurer” means any insurance company or underwriter on our panel with whom we hold a terms of business agreement or introducer agreement for the arrangement or administration of insurance policies.

“MCP” means the Model Context Protocol, an open standard for connecting AI-powered applications to external tools and data sources.

“Personalised Information” means information that accurately reflects your specific circumstances, provided by you through the Platforms by reviewing, confirming, supplementing, or correcting an Example User Profile (whether by selecting from options presented to you or by entering data directly). For the avoidance of doubt, where the Example User Profile already accurately reflects your circumstances in respect of a particular data point, your confirmation of that data point constitutes Personalised Information.

“Platforms” means our websites, APIs, MCP server, and any integrations, tools, widgets, or applications made available by us, whether hosted on our own infrastructure or accessible through third-party sites and services.

“Referral” means the act of Prompted directing you to a Referred Provider’s website, application, or platform for the purpose of obtaining a quotation for, or purchasing, an insurance policy, following Prompted’s assessment of your needs and analysis of available products.

“Referral Data” means any Personalised Information, Example User Profile data (whether confirmed by you or not), and any assessment or analysis output that Prompted transmits to a Referred Provider at or before the point of Referral, with your consent.

“Referred Provider” means any insurance company, intermediary, broker, managing general agent, or other provider to whose website, application, or platform Prompted may direct you for the purpose of obtaining a quotation for, or completing the purchase of, an insurance policy. A Referred Provider may or may not also be an Insurer on Prompted’s panel.

“Selection Pathway” means the primary method by which users provide information through the Direct Platform, whereby users select from structured options and categories presented by Prompted rather than entering free-text data. For the avoidance of doubt, both selecting and entering information can introduce errors, albeit in different ways.

“Services” means the insurance needs assessment, policy review, quotation, purchase, binding, referral, and related services made available by us through the Platforms.

“Third-Party Platform” means any website, application, or service not operated by Prompted through which you may access our Services, including but not limited to AI assistants and chatbots such as ChatGPT, Claude, Gemini, or any other MCP-compatible client.

“Tool Call” means any programmatic request made by an Agent to our MCP server to invoke a specific function, including but not limited to requesting quotes, reviewing policy documents, submitting applications, or binding insurance policies.

2. Your use of the Platforms and Services

License to use the Platforms and Services

2.1 Any intellectual property rights in the Platforms (and all of the information and material you access through them) is the sole and exclusive property of Prompted. Prompted grants you a non-exclusive, royalty-free, non-transferable, revocable licence to use the Platforms and Services, any component parts, and any information and material stored on the Platforms, but only for your internal business purposes.

2.2 Any data or other information about you that you provide to us is subject to our Privacy Policy. Solely to enable Prompted to use information you supply us with, you grant to Prompted a non-exclusive licence to:

2.2.1 convert such information into digital format such that it can be read, utilised and displayed by Prompted’s computers or any other technology currently in existence or hereafter developed;

2.2.2 use, reproduce, modify, display, publish, distribute, and/or transmit the information in connection with operating, demonstrating, or marketing the Platforms or Prompted’s services; and

2.2.3 combine the information with other content provided by Prompted, in each case by any method or means or in any medium whether now known or hereafter devised.

2.3 Prompted retains all ownership rights in and to any modifications, enhancements or other contributions made by or on behalf of Prompted to any information provided by you. Subject to our Privacy Policy, upon written request by you, Prompted shall remove any of your information or proprietary names from the Platforms within a reasonable period.

2.4 This licence covers the use of any client libraries, SDKs, or MCP integration tools which Prompted provides in connection with the Services, but does not extend to any third-party software or AI models used to operate your Agent.

2.5 The use of the Platforms may be subject to third-party terms. We may also include links to third-party websites or services or refer you to a Referred Provider, or you may be directed to the Platforms via an Agent or a Third-Party Platform. You acknowledge and agree that:

2.5.1 Prompted has no control over third parties or any third-party sites and are not responsible for their actions or representations. Prompted’s responsibility extends only to the accuracy of data at the point of transmission from our systems;

2.5.2 The Agent, Third-Party Platform, and/or Referred Provider alone are responsible for:

i. providing content, information, and results which are accurate, reliable, and free from errors; and

Ii. ensuring that any summary, comparison, recommendation, or analysis based on data received from our Services accurately reflects the underlying policy terms, coverage, or pricing

2.5.3 Your use of these sites and services is at your own cost and risk.

2.6 We may release updates, patches, or new versions of the Platforms from time to time. Where required, you agree to promptly install such updates to ensure the security and functionality of the Platforms. You also acknowledge and agree that: 

2.6.1 the Platforms are provided over the internet and mobile networks and thus the quality and availability of the Platforms may be affected by factors outside Prompted’s reasonable control;

2.6.2 Prompted, its group of companies and sub-contractors do not accept any responsibility whatsoever for unavailability of the Platforms or any difficulty or inability to download or access content or any other communication system failure which may result in the Platforms being unavailable; and

2.6.3 We aim to provide accurate and up-to-date information, but we cannot guarantee the completeness, accuracy, or reliability of the content on the Platforms.

2.7 The Platforms and Services are directed to, and are intended for use by, people and businesses residing in the United Kingdom only. We make no representation that content available on or through the Platforms is appropriate for use or available outside of the United Kingdom.

2.8 Prompted reserves the right to refuse to list or to modify or discontinue, temporarily or permanently, the Services and/or products offered via the Platforms (or any part thereof) as it may choose in its sole discretion and with or without notice.

2.9 Subject to the terms of our Privacy Policy, you acknowledge and accept that Prompted or its designees may monitor any activity or information transmitted or received through the Platforms, including interactions conducted via MCP and we may, at our sole discretion, review, log, rate-limit, or prohibit any activity or the transmission or receipt of any information which Prompted in its sole discretion deems inappropriate, potentially fraudulent, or that violates any provision of these Terms.

Creating an account and payment details

2.10 If you purchase insurance via the Platforms, you will have the option to register for a customer account, allowing you to access information about your policy online. You are responsible for maintaining the confidentiality of the username and password you create, and are fully responsible for all activities that occur under your username or password. You agree to:

2.10.1 provide accurate and complete information during the registration process and to update such information to keep it accurate and current;

2.10.2 immediately notify Prompted of any unauthorised use of your username or password or any other breach of security; 

2.10.3 ensure that you exit from your account at the end of each session; and

2.10.4 where your account is linked to an Agent via MCP, be fully responsible for securing the authentication credentials used by the Agent to access our Services.

2.11 Where Prompted takes your bank account or credit/debit card payment details we only do so with your authorisation. Wherever we do this, we use encryption when transmitting payment data to our payment providers in order to protect your data and we do not hold your payment details directly on our systems (although we are able to securely reference these details directly with the payment provider).

2.12 Where payment is initiated through an Agent via MCP, you will be redirected to a secure payment environment. Payment card details will never be transmitted through the MCP protocol or processed by any Third-Party Platform.

2.13 We may change our payment providers at any time without notice but will only use payment providers who comply with applicable data protection legislation and hold your details securely.

Your other obligations

2.14 When using the Platforms you agree you’ll not:

2.14.1 use any data returned by our MCP server other than for your personal use in evaluating and purchasing insurance;

2.14.2 use the Platforms for any commercial gain, outside of any contractual relationship with Prompted (which will be governed by our ToB);

2.14.3 introduce any viruses, bugs, corrupted files, or any other similar software or programs that may damage the operation of the Platforms;

2.14.4 attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Platforms in any form or media or by any means; 

2.14.5 attempt to de-compile, reverse compile, disassemble, or reverse engineer any part of the Platforms;

2.14.6 use the Platforms or post any content on those Platforms which is misleading, false, fraudulent, obscene, or otherwise illegal; or

2.14.7 otherwise use the Platforms in any way that is likely to cause damage or will knowingly overload Prompted’s infrastructure, including but not limited to excessive automated requests via MCP or API.

2.15 To receive personalised quotations and to bind any insurance policy, you may need to review the Example User Profile and provide your Personalised Information by confirming, supplementing, or correcting it as appropriate to ensure it accurately reflects your circumstances.

2.16 Before any policy is bound through the Direct Platform or via an Agent, all information that will be submitted to the Insurer (including both your Personalised Information and any residual Example User Profile data that you have confirmed) will be presented to you for review. You are responsible for verifying this information at that stage. By proceeding to bind a policy after this review, you confirm that the information presented is accurate and complete to the best of your knowledge.

2.17 You warrant that all Personalised Information you provide (whether by confirming, supplementing, or correcting the Example User Profile, by selection or direct entry, and whether provided by you directly or by your Agent on your behalf) is accurate and current. If any Personalised Information that you provide is untrue, inaccurate, outdated or incomplete, Prompted retains the right, in its sole discretion, to suspend or terminate your right to use the Services, the Platforms and, where applicable, your customer account.

Our obligations
2.18 Subject to paragraphs 2.19 and 2.20, where you access the Services through the Direct Platform, Prompted will use reasonable care and skill to ensure that:

2.18.1 quotations, policy summaries, and informational analysis generated and displayed through the Direct Platform are materially accurate at the time they are presented to you;

2.18.2 where initial outputs are based on an Example User Profile, this is clearly indicated and you are prompted to review and provide your Personalised Information (by confirming, supplementing, or correcting the Example User Profile) before any binding transaction; and

2.18.3 information you provide via the Selection Pathway is accurately recorded and presented back to you for review prior to purchase.

2.19 Prompted’s obligations at paragraph 2.18 are subject to the following:

2.19.1 insurance product information (including premiums, terms, exclusions, and policy wordings) is provided to us by the relevant Insurer and Prompted is not liable for inaccuracies in the underlying data supplied by Insurers;

2.19.2 quotations are indicative until a policy is bound and may be subject to change based on underwriting review, further information, or market conditions; and

2.19.3 you remain responsible for reviewing all information presented to you and confirming its accuracy before binding a policy.

2.20 Otherwise, and to the maximum extent permitted by law, Prompted excludes all implied warranties in relation to the Platforms (including but not limited to the Direct Platform), which are provided ‘as is’ and ‘as available’ without warranty of any kind.

3. Prompted’s role and Referred Providers 

3.1 Prompted is a non-advisory insurance intermediary. We do not provide legal, financial, or professional advice, and nothing in these Terms or in the Services should be construed as creating an advisory relationship between Prompted and you.

3.2 Any summary, analysis, or recommendation generated by a Third-Party Platform or Agent based on data obtained from our Services does not constitute advice from Prompted. We have limited control over how third-party AI models interpret or present information obtained from our Services, and so accept no responsibility or risk for such models or Agents.

3.3 Where Prompted either (i) reviews your needs or analyses the relevance of insurance policies (whether through the Direct Platform or via MCP), or (ii) refers you to a Referred Provider website or platform to obtain a quotation or complete the purchase of an insurance policy: 

3.3.1 it does so for informational purposes only. In particular, any Referral is based on objective criteria derived from your Personalised Information (or, before you have provided Personalised Information, from the Example User Profile), including factors such as the type of cover required, the risk category, and the Referred Providers available for that product type. 

3.3.2 The highlighting of any particular insurance policy and/or Referral to Referred Provider does not constitute a personal recommendation, suitability assessment, or endorsement of any such policy or provider. In particular (but not exclusively), Prompted does not guarantee the availability, solvency, regulatory standing, or conduct of any Referred Provider;

3.3.3 You should not rely on Example User Profile outputs as representative of your own coverage needs, risk profile, or likely premium until you have reviewed and provided your Personalised Information;

3.3.4 Prompted does not warrant that the quotation, premium, terms, coverage, or exclusions offered by the Referred Provider will correspond to the information presented by Prompted at the point of Referral, or that any Referred Provider will offer you an insurance policy;

3.3.5 This is not a substitute for your own assessment of the Referred Provider’s product and terms, which will govern your relationship with the Referred Provider and any insurance policy purchased through them. You should review all policy documentation provided by the Referred Provider before making any purchase;

3.3.6 Prompted’s involvement in any transaction ends at the point of Referral. Prompted does not participate in, and has no control over (i) the Referred Provider’s quotation,  administration, variation, or cancellation of the policy; (ii) any claims made under the policy; (iii) any renewal or non-renewal of the policy; (iv) any complaints about the policy or the Referred Provider’s conduct; and (v) any refund or return of premium;

3.3.7 You should always obtain independent professional or specialist advice if you require guidance on your specific circumstances.

3.4 Where Prompted holds an introducer agreement or referral arrangement with a Referred Provider, Prompted may receive a commission, referral fee, or other remuneration from the Referred Provider in connection with the Referral. Details of Prompted’s remuneration arrangements are available on request and, where required by FCA rules, will be disclosed to you before the point of Referral.

3.5 Before we refer you to a Referred Provider, we will present a summary of the information we intend to share with the Referred Provider (the Referral Data), together with a summary of the information noted at paragraph 3.3.1. In proceeding with a Referral you: (i) confirm that the Referral Data is accurate and complete to the best of your knowledge; (ii) consent to the transmission of the Referral Data to the Referred Provider; and (iii) acknowledge that you have read and understand this paragraph 3 concerning Prompted’s role.

3.6 Prompted will only share Referral Data where it has a lawful basis to do so, and in accordance with our Privacy Policy. Once it has been shared with the Referred Provider, Prompted has no control over and accepts no responsibility for how it processes, stores, interprets, or acts upon that data. You should review the Referred Provider’s privacy policy before proceeding with the Referral.

3.7 Prompted is not liable for any differences between the information presented by Prompted at the point of Referral and the information subsequently provided by the Referred Provider, or  for any changes to your circumstances that occur between the point of Referral and the point at which you complete a purchase with the Referred Provider and any additional information requested by the Referred Provider that was not included in the Referral Data. This include but is not limited to differences in premium, coverage, exclusions, or policy terms.

3.8 If you have a complaint about an insurance policy purchased following a Referral, you should direct that complaint to the Referred Provider or the relevant Insurer in the first instance. Your right to complain to the Financial Ombudsman Service about the Referred Provider applies in accordance with FOS rules. Any complaints about the Services will be handled in accordance with paragraph 10 (Complaints).

3.9 Paragraph 5 below also addresses Referrals through Prompted’s use of MCP. Please ensure you read this section in full alongside this paragraph 3.

4. Insurance business

Applying for and purchasing an insurance policy 

4.1 This paragraph 4 must be read in conjunction with paragraphs 2 and 3, which govern your use of the Platforms, your other obligations, and our role in more detail.

4.2 The Platforms allow users to prepare and submit requests for insurance quotes from Insurers, who may respond to such requests with a price quotation. This functionality is available through the Direct Platform, via MCP through Third-Party Platforms, and (in certain cases) by Referral to a Referred Provider’s website or platform. 

4.3 When processing insurance requests, Prompted acts as an intermediary between you and the Insurer. This may be in addition to any Referred Provider that you use as part of the Services.

4.4 Through the Direct Platform you may provide Personalised Information by selecting from structured options and categories presented to you (the Selection Pathway). Where the Example User Profile already accurately reflects your circumstances in respect of a particular data point, you may confirm that data point without needing to re-enter the information. Where free-text entry is required for a particular data point, this will be clearly indicated.

4.5 Where you access the Services through an Agent, the Agent may provide risk information by selecting from options presented by our MCP server, by entering data directly, or by confirming data points within an Example User Profile. All three methods serve the same function of sharing risk information with Insurers to generate a price. You are responsible for verifying the Agent’s inputs regardless of the method used.

4.6 Before any policy is bound (whether through the Direct Platform or via an Agent), all data you have confirmed, supplemented, or corrected will be presented to you for review. You must verify this information before proceeding as it will form the basis of your insurance application and the insurance policy subsequently issued.

4.7 Your obligation under the Insurance Act 2015 to make a fair presentation of the risk to the Insurer applies regardless of whether you submit information directly or through an Agent. Inaccurate, incomplete, or misleading information submitted by your Agent may entitle the Insurer to avoid the policy, reduce the claim payment, or treat the policy as if different terms applied.

4.8 When you purchase a general insurance policy you have the right to cancel the policy within 14 days of the date on which the policy is concluded or the date on which you receive the policy documentation, whichever is later. Details of this right, and any exceptions that may apply, will be set out in the Referred Provider’s terms and conditions and/or relevant TOBA and policy documentation provided at the time of purchase.

4.9 We collect and use relevant information about you to provide you with your insurance and to meet our legal obligations. Full details of how we share and otherwise use your personal data is set out in our Privacy Policy.

Automatic renewals

4.10 This section applies only to policies of insurance purchased through the Direct Platform or via an Agent using Prompted’s own purchase process. It does not apply to policies purchased following a Referral to a Referred Provider. Any automatic renewal arrangements for policies purchased through a Referred Provider are governed by the Referred Provider’s own terms.

4.11 Where you purchase a policy of insurance through the Platforms using a credit or debit card, we may automatically renew your cover and take further payment before the current policy has lapsed to enable you to receive continuous insurance cover. You will be informed of the availability of this arrangement, and given the opportunity to opt-out when purchasing a new policy.

4.12 Such payment will be taken prior to the expiry date of your current policy and we will always notify you before taking a renewal payment and before a new policy starts. By purchasing insurance via Prompted using a credit or debit card, and subject always to compliance with Applicable Laws, you authorise Prompted and/or its payment provider on a continuing basis to:

4.12.1 retain and securely store your credit or debit card details for this purpose; and

4.12.2 send instructions to the financial institution that issued your card to take further payments from your card account in accordance with these Terms.

4.12 You understand that the amount payable under your new policy may differ from that under your current policy. You confirm that the continuing payment authorisation applies to the amount under the new policy. This does not affect your right to cancel either this authorisation or your insurance in line with either Prompted’s cancellation policy as set out in the TOBA.

4.13 You can tell us not to automatically renew your insurance policy at any time before payment is processed. You may opt out by: (a) using the cancellation function within your account on our website; (b) contacting us by email at support@prompted.co.uk; or (c) using any other method by which you are able to purchase a new policy through the Platforms, including via the Direct Platform chat interface. 

5. Use of MCPs

5.1 This paragraph 5 must be read in conjunction with paragraphs 2, 3, and 4, which govern your use of the Platforms and Services, your other obligations, and our role in more detail.

5.2 By connecting an MCP-compliant Agent to our Services, you expressly agree that:

5.2.1 Any request made by the Agent (including Tool Calls for quotes, policy reviews, or policy binding) is legally deemed an action taken by you. You are fully responsible for all actions your Agent takes when interacting with our Services, regardless of whether those actions were specifically intended by you.

5.2.2 You authorise the Agent to enter into legally binding insurance contracts on your behalf. Whether your Agent provides risk information by selecting from options presented by our Services or by entering data directly, you are responsible for ensuring those inputs are accurate, complete, and not misleading. Both selection and free-text entry can introduce errors, and you accept responsibility for verifying the Agent’s inputs regardless of the method used.

5.2.3 This does not extend to transactions completed on a Referred Provider’s platform. Any binding authority an Agent may exercise on a Referred Provider’s platform is a matter between you, the Agent, and the Referred Provider and is not governed by these Terms.

5.2.4 While the Agent may review and summarise policies for you, the final legal contract is between you and the Insurer. All information submitted by your Agent will be presented back to you for review prior to purchase. You must verify any summary, selection, or data confirmed, supplemented, or corrected by the Agent before binding any policy. Prompted accepts no liability for inaccuracies introduced by the Agent’s interpretation of policy data or for errors in information selected, entered, or confirmed by the Agent.

5.2.5 Where a Referral is initiated through an Agent via MCP, the Referral Data may pass through the Agent’s infrastructure before reaching the Referred Provider. In such cases, the data handling provisions set out elsewhere in these Terms shall also apply.

5.2.6 Where you access Prompted’s Services through an Agent via MCP, the Agent may be presented with a Referral link or redirect rather than the ability to bind a policy directly. In such cases, the Agent must present the Referral to you for your review and action. No Agent is authorised to complete a purchase on a Referred Provider’s platform on your behalf unless you have separately authorised the Agent to do so under the Referred Provider’s own terms.

5.3 You acknowledge that our MCP server dynamically exposes tools and resources. We may add, remove, modify, or limit these features (including the ability to bind specific high-value policies or access certain Insurer panels) at our discretion and without notice, to ensure security, regulatory compliance, and the integrity of the Services.

5.4 When using MCP, your data may be processed by the third-party AI model provider operating your Agent (for example, Anthropic, OpenAI, Google, or any other provider). You are responsible for reviewing and accepting the privacy terms and data processing practices of any such third-party provider before connecting your Agent to our Services.

5.5 You acknowledge that information you provide through an Agent may pass through infrastructure and systems outside of Prompted’s control, and you accept the associated risks.

5.6 Prompted reserves the right to impose rate limits, usage quotas, or other technical restrictions on MCP access to protect the integrity and performance of the Services. Excessive or abusive use of the MCP interface may result in temporary or permanent suspension of access.

6. Liability

6.1 Subject to the remaining provisions of this paragraph 6:

6.1.1 each party’s liability to the other in connection with these Terms, and whether in contract, tort, or on any other legal basis, shall be limited to a maximum of one million pounds (£1,000,000); and

6.1.2 Neither party shall be liable for any loss of business, loss of use or of data, interruption of business, lost profits or goodwill, or indirect, special, incidental, exemplary or consequential damages of any kind arising out of or in connection with your use of the Platforms or the Services

6.2 You shall indemnify and hold harmless Prompted in full from any suits, losses, claims, demands, liabilities, costs and expenses (including legal and accounting fees) arising from:

6.2.1 your failure to comply with any applicable laws and regulations or to obtain any licences or approvals necessary to purchase or receive the Services;

6.2.2 the purchase, or purported purchase, of insurance products and/or Services by you (whether directly or through an Agent), or any loss suffered by or harm to any person or property in any way relating to or caused in whole or in part by the Services;

6.2.3 any taxes attributable to the Services or due on the purchase of the Services;

6.2.4 alleged errors or omissions or misrepresentations in Personalised Information provided by you (whether by confirming, supplementing, or correcting an Example User Profile, by selecting options, or by entering data directly) or by your Agent on your behalf, to Prompted or to any Insurer, save that this indemnity shall not apply to the extent that the error arose solely from (a) a defect in the Selection Pathway that caused your selection or confirmation to be incorrectly recorded by the Direct Platform, or (b) inaccurate data within an Example User Profile that you were not prompted to review;

6.2.5 any actions taken by your Agent that result in the binding of an insurance policy or any other legally binding commitment;

6.2.6 any claim by a third-party AI model provider arising from your use of their platform in connection with our Services; and

6.2.7 any claim, loss, or liability arising from an insurance policy purchased from or through a Referred Provider following a Referral by Prompted, including but not limited to any claim by the Referred Provider, the relevant Insurer, or any third party, save that this indemnity shall not apply to the extent that the claim arose solely from Prompted’s negligent transmission of inaccurate Referral Data where you had correctly confirmed the data.

6.3 In the case of any Third Party claim covered by paragraph 6.2, you agree not to settle any action, claim or demand on our behalf without our prior written consent. Prompted shall have the right to conduct any litigation, with counsel of its choice, at your expense.

6.4 Prompted’s liability under this paragraph 6 is always subject to your obligation to review all information presented to you prior to purchase and to provide accurate Personalised Information as set out elsewhere in these Terms.

6.5 Prompted shall not be liable for the acts, errors or omissions of any Agent, Third-Party Platform or Referred Provider, or otherwise any circumstances beyond its reasonable control, including but not limited to:

6.5.1 any loss arising from actions taken by an Agent or Referred Provider on your behalf, including the binding of insurance policies, any amendment made to such policies, or any claims disputes arising thereunder;

6.5.2 any loss arising from inaccuracies in policy summaries, needs assessments, or other information generated or interpreted by a Third-Party Platform, Agent or Referred Provider;

6.5.3 any loss arising from the Referred Provider’s handling of claims, renewals, cancellations, or complaints.

6.5.4 any loss arising from the conduct, availability, insolvency, or regulatory standing of any Referred Provider;

6.5.5 any loss arising from the unavailability, malfunction, or discontinuation of MCP access or any specific tool or resource exposed through our MCP server;

6.5.6 any loss arising from data processing by third-party AI model providers; and

6.5.7 any loss arising from errors in information selected, entered, or confirmed by an Agent or Referred Provider on your behalf.

6.6 Nothing in these Terms excludes a party’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited by law.

6.7 Nothing in this paragraph affects your right to refer a complaint to the Financial Ombudsman Service in accordance with the time limits set out in DISP 2.8 of the FCA Handbook, nor your right to make a complaint to the Financial Conduct Authority.

7. Termination

7.1 Prompted may, in its sole discretion, remove access to the Platforms (including disabling MCP access for your Agent) and disable any username and password associated with you for any reason, including, without limitation, if Prompted believes in its sole discretion that you have violated or acted inconsistently with the letter or spirit of these Terms.

7.2 Prompted also reserves the right to suspend or terminate the Services in whole or in part, and/or to remove access to the Platforms and/or to cancel (on behalf of any of our panel Insurers) any policy issued to you, where:

7.2.1 We believe that performance of the Services could be a breach of applicable economic or trade sanctions, laws or regulations; or

7.2.2 you are in breach of the terms of any insurance policy and the Insurer is entitled to cancel, repudiate or avoid your insurance policy on that basis.

7.3 Any provisions specifically stated to survive termination of these Terms shall remain in effect, including without limitation paragraphs 6, 8, and 10.

8. General

8.1 No Waiver: The failure of Prompted to exercise or enforce any term or condition shall not constitute a waiver of such right or provision.

8.2 Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.

8.3 Third Parties: The rights and limitations in these Terms apply to and are for the benefit of you and Prompted, and no third party has the right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision in these Terms as between you and us.

8.4 Assignment: You are not permitted to assign any of your rights under these Terms without the prior written consent of Prompted.

8.5 No Agency: No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and Prompted is intended or created by these Terms.

8.6 Sanctions: Prompted shall not provide any Services or provide any benefit to the extent that the provision of such Services or benefit would violate applicable law or expose Prompted, its affiliates, or any of its panel Insurers to any sanctions, prohibition, or restriction under UN Security Council Resolutions, or under other trade or economic sanctions, laws, or regulations including, without limitation, those of the United Kingdom, European Union and United States of America.

8.7 Law and Jurisdiction: The laws of England and Wales govern these Terms and any claims and disputes arising out of or in connection with them (including non-contractual claims and disputes), and you and Prompted agree to submit to the exclusive jurisdiction of the courts of England and Wales.

10. Complaints

10.1 If you are dissatisfied with any aspect of the Services, you may submit a complaint to us using the contact details at paragraph 9. We will handle your complaint in accordance with the FCA’s dispute resolution rules (DISP).

10.2 We will aim to resolve your complaint promptly. If we have not resolved your complaint to your satisfaction within eight (8) weeks of receipt, or if you are dissatisfied with our final response, you may refer your complaint to the Financial Ombudsman Service:
